Article 1 — Seller identification

The website chiptuning-db.com (the “Site”) is operated by:

Hereinafter the “Seller” or “ChipTuning DB”.

Article 2 — Purpose and scope

These Terms & Conditions of Sale (the “Terms”) govern all contractual relations between the Seller and any person (the “Customer”) making a purchase on the Site. They apply to the sale of exclusively digital products: engine control unit tuning files (“ECU files”), software modification services for vehicle control units, and related products as described on the Site.

Any order placed on the Site implies the Customer’s full and unreserved acceptance of these Terms, which the Customer acknowledges having read before validating the order. The Seller may amend these Terms at any time; the Terms applicable are those in force on the date of the order.

Article 3 — Definitions

  • ECU file: a digital file containing a calibration (“map”) intended to reprogram a vehicle’s electronic control unit (ECU/DME/EDC) — e.g. Stage 1, Stage 2, DPF Off, EGR Off, AdBlue Off, Map Pack.
  • Digital content: a product supplied in intangible (downloadable) form, not on a physical medium.
  • Customer: any person placing an order, whether acting for professional purposes (e.g. workshop, tuner) or as a private individual.

Article 4 — Products and services

Products are described on the Site with their essential characteristics. ECU files are technical products whose use requires suitable skills and equipment (OBD or bench read/write tool, appropriate software).

Photographs, illustrations and descriptions are provided for guidance only. The availability of a file for a given vehicle (make, model, engine, control-unit type, software version) depends on the information provided by the Customer at the time of order. The Customer is solely responsible for the accuracy of that information.

Article 5 — Prices

Prices are shown on the Site in US dollars (USD $), the Seller’s billing currency.

As the Seller is a company established in a Free Zone in the United Arab Emirates, displayed prices are net, with no VAT (0%): no VAT is charged by the Seller.

It is the Customer’s responsibility to verify any taxes, duties or charges (import VAT, local taxes, etc.) due in their country of residence; where applicable, these remain entirely the Customer’s responsibility.

Article 6 — Orders and formation of the contract

The Customer selects the products, provides the required information (in particular their vehicle details), then validates the order after accepting these Terms. The sale is deemed concluded once the Seller confirms the order and payment has been effectively received. The Seller reserves the right to refuse or cancel any order that is abnormal, fraudulent, or for which the requested file is not feasible.

Article 7 — Payment

Payment is made online at the time of the order, using the methods offered on the Site, in particular credit/debit card via Stripe and PayPal. Transactions are secured by the relevant payment providers; the Seller has no access to the Customer’s full banking data. The order is processed only after effective confirmation of payment. In the event of payment failure, refusal or rejection, the order is automatically cancelled.

Article 8 — Delivery of digital content

As the products are exclusively digital, no physical delivery takes place. The file or service is delivered by download and/or e-mail to the address provided by the Customer.

The availability/delivery time is indicated on the product page or at the time of order. For files requiring custom processing, the time runs from the Seller’s receipt of all information and/or the original file required. The Customer is responsible for having the technical means of receipt (working e-mail, download access) and for keeping a backup copy of the file received.

Article 9 — Digital products: firm and final sale

As the products sold are digital content delivered electronically, they are by nature non-returnable. By validating the order, the Customer expressly requests immediate provision of the file and acknowledges that the sale is firm and final upon delivery of the content.

Accordingly, no refund, whether full or partial, may be granted on digital products, for any reason whatsoever. In the event of a defective or non-conforming file attributable to the Seller, the Customer’s sole remedy is the free correction or re-issue of the file, under the conditions of Article 10.

Article 10 — Conformity and file correction (no refunds)

The Seller undertakes to provide a file conforming to the order and to the information provided by the Customer.

As these are digital products, the sale is firm and final: no refund, whether full or partial, is granted, under any circumstances.

In the event of a clearly non-conforming or non-functional file attributable to the Seller, the Customer must report it by e-mail within 14 days of delivery, providing supporting evidence (original read, tool log, memory feedback). The sole and exclusive remedy is then the free correction or re-issue of the file by the Seller, to the exclusion of any refund or compensation.

The Seller shall not be liable, nor carry out any correction, in the event of:

  • incorrect or incomplete vehicle information provided by the Customer;
  • mishandling, incorrect writing, power interruption or unsuitable equipment during flashing;
  • modification of the file by the Customer or a third party;
  • a simple change of mind after delivery.

Article 11 — Technical warning and limitation of liability

The Customer expressly acknowledges that ECU files are technical modification products and accepts the following:

  1. Use and homologation. Certain modifications (in particular DPF/FAP, EGR or AdBlue removal, or power increases) may render the vehicle non-compliant with road-traffic regulations and/or emissions standards in the Customer’s country. Such files may be intended for competition / off-road / track use only. The Customer is solely responsible for the legality of their use of the file and for the homologation of their vehicle.
  2. Installation responsibility. Flashing the control unit is carried out under the sole responsibility of the Customer (or the workshop they appoint). The Seller does not perform physical installation and is not liable for damage resulting from incorrect writing, faulty equipment or power failure.
  3. Backup. The Customer undertakes to keep a read/backup of the original file before any modification, in order to restore the original state of the control unit.
  4. Manufacturer warranty. The Customer is informed that reprogramming may affect or void the vehicle’s manufacturer warranty.
  5. Limitation. To the fullest extent permitted by applicable law, the Seller’s total liability, for all heads of loss combined, is limited to the amount actually paid by the Customer for the relevant product. The Seller shall not be liable for indirect damages (loss of use, mechanical damage, downtime, loss of warranty, administrative penalties).

Article 12 — Intellectual property and licence of use

The files, content, trademarks, logos and elements of the Site are protected by intellectual property rights and remain the property of the Seller or its partners. The purchase of an ECU file grants the Customer a personal, non-exclusive licence of use, limited to the vehicle for which the file was ordered. The following are strictly prohibited: resale, redistribution, sharing, public availability, reverse engineering or commercial exploitation of the file without the Seller’s prior written consent.

Article 13 — Personal data

The data collected (identity, e-mail, vehicle information, order data) is used solely for order processing, file delivery and customer relations. It is not transferred to third parties for commercial purposes. Its processing is governed by United Arab Emirates law and detailed in the Site’s Privacy Policy. For any request regarding their data, the Customer may write to the contact address.

Article 14 — Complaints and customer service

For any question or complaint, the Customer may contact the Seller at: kimy.technology@gmail.com. The Seller endeavours to reply as soon as possible.

Article 15 — Force majeure

The Seller’s liability cannot be engaged in the event of non-performance due to force majeure or an event beyond its reasonable control (general technical failure, network outage, failure of payment or hosting providers, etc.).

Article 16 — Governing law and jurisdiction

These Terms are governed exclusively by the laws of the United Arab Emirates. Any dispute relating to their interpretation or performance shall, failing amicable resolution, be submitted to the competent courts of the Emirate of Ajman, United Arab Emirates.

Article 17 — Miscellaneous

If any clause of these Terms is declared void or unenforceable, the remaining clauses retain full validity. These Terms constitute the entire agreement between the parties in respect of their subject matter.
